01Agreement to these Terms

These Terms of Use ("Terms") govern your access to and use of list.portoro.com (the "Site"), which is operated by Portoro Homes Inc and its affiliates ("Portoro," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not use the Site.

These Terms apply specifically to list.portoro.com, an informational website focused on vacation rental homeowners and prospective owners. Other Portoro websites and services (including booking platforms or the Portoro Owner Dashboard) may be governed by additional or different terms.

02Who may use the Site

You may use the Site only if you:

• Are at least 18 years old (or the age of majority in your jurisdiction), and
• Have the legal authority to enter into these Terms on your own behalf or on behalf of the entity you represent.

By using the Site, you represent and warrant that you meet these requirements.

03Site purpose and no booking services

The Site is designed to:

• Provide information about Portoro's vacation rental management services for homeowners
• Allow owners and prospective owners to contact us, request evaluations, or learn more about partnering with Portoro

The Site does not provide functionality for guests to search, reserve, or pay for vacation rentals. Any guest-facing booking experiences are provided through other Portoro channels and may be subject to separate agreements and terms.

04Ownership of the Site and content

The Site and all content on it, including text, graphics, images, designs, logos, icons, software, and other materials, are owned by Portoro or its licensors and are protected by copyright, trademark, and other laws.

Except as expressly permitted in these Terms, you may not:

• Copy, reproduce, modify, adapt, translate, or create derivative works of the Site or its content
• Distribute, transmit, publish, or otherwise use the Site or its content for any commercial purpose
• Remove or alter any copyright, trademark, or other proprietary notices

"Portoro" and associated marks are trademarks or service marks of Portoro Homes Inc.

05Your permitted use of the Site

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own internal business purposes as a current or prospective vacation rental homeowner.

You agree not to:

• Use the Site for any unlawful or unauthorized purpose
• Use the Site to solicit guests, renters, or other customers away from Portoro in a manner that violates any existing agreement with Portoro
• Interfere with or disrupt the operation of the Site or servers or networks connected to the Site
• Attempt to gain unauthorized access to the Site or Portoro systems
• Use any robot, spider, scraper, or other automated means to access the Site without our prior written permission

06User submissions and feedback

The Site may allow you to submit information, such as contact details, property characteristics, questions, or feedback ("Submissions").

By providing Submissions, you:

• Represent that the information is accurate to the best of your knowledge and that you have the right to share it
• Grant Portoro a non-exclusive, worldwide, royalty-free license to use, reproduce, and process your Submissions for purposes of operating, evaluating, and improving our services, communicating with you, and as otherwise described in our Privacy Policy

If you provide feedback or suggestions about the Site or our services, we may use that feedback without restriction and without obligation to you.

07No professional advice; informational only

Content on the Site is provided for general informational purposes only. It may describe typical outcomes or illustrative examples regarding revenue, occupancy, or home care, but is not a guarantee of any particular result for your property.

Nothing on the Site constitutes legal, tax, financial, or investment advice. You should consult your own advisors before making decisions related to your property or business.

08Third-party content and links

The Site may contain links to third-party websites, resources, or services. We provide these links as a convenience and do not control, endorse, or assume responsibility for any third-party content, products, or services.

Your use of third-party sites is at your own risk and may be governed by separate terms and privacy policies.

09Changes to the Site and these Terms

We may update, suspend, or discontinue any aspect of the Site at any time, including content, features, or availability.

We may also modify these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page and may provide additional notice where appropriate.

Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

10Disclaimer of warranties

To the fullest extent permitted by law, the Site and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

• The Site will be uninterrupted, secure, or error-free
• Any defects will be corrected
• The Site or servers are free of viruses or other harmful components
• The information on the Site is accurate, complete, or up to date

11Limitation of liability

To the fullest extent permitted by law, Portoro and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your use of the Site or these Terms.

To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you.

12Indemnification

You agree to indemnify, defend, and hold harmless Portoro and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with:

• Your use of the Site
• Your violation of these Terms
• Your violation of any rights of another person or entity

13Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Site will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.

14Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we reasonably believe you have violated these Terms or applicable law.

Upon termination, your right to use the Site will immediately cease. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and governing law) will continue to apply.

15International use

The Site is controlled and operated from the United States and is primarily intended for owners and properties in markets where Portoro operates. If you access the Site from outside the United States, you are responsible for compliance with local laws.

16Entire agreement

These Terms, together with the Privacy Policy referenced above, constitute the entire agreement between you and Portoro regarding your use of list.portoro.com and supersede any prior or contemporaneous agreements relating to the Site.
